Welcome to CredWorth. These Terms & Conditions (“Terms”) govern your access to and use of the CredWorth platform, website, mobile applications, APIs, dashboards, software systems, and related services (collectively referred to as the “Platform”).


By accessing, registering on, or using the Platform, you agree to comply with and be legally bound by these Terms, our Privacy Policy, Refund Policy, and any other policies or guidelines published by CredWorth from time to time.


If you do not agree with these Terms, you must discontinue use of the Platform immediately.



1. DEFINITIONS


For the purpose of these Terms:


* “CredWorth”, “Company”, “we”, “our”, or “us” refers to CredWorth, its owners, affiliates, successors, assigns, employees, representatives, and authorized partners.

* “User”, “you”, or “your” refers to any individual, merchant, business entity, organization, or representative accessing or using the Platform.

* “Platform” means the CredWorth website, applications, software systems, APIs, dashboards, tools, and related services.

* “Mandate” means any digital payment authorization, recurring payment instruction, UPI AutoPay authorization, debit instruction, or similar electronic consent created or initiated through the Platform.

* “Payment Partners” means banks, payment aggregators, payment gateways, UPI infrastructure participants, KYC providers, technology providers, and other authorized third-party service providers integrated with the Platform.

* “Commercial Transaction” means any business transaction, invoice, sale, purchase, service arrangement, credit arrangement, or financial dealing between Users.




2. NATURE OF SERVICES


CredWorth operates solely as a technology facilitation platform that enables Users to create, manage, initiate, track, and monitor digital mandate workflows and related payment instructions through integrated third-party financial infrastructure.


CredWorth:


* does not operate as a bank, NBFC, payment system operator, or licensed payment aggregator unless separately authorized under applicable law;

* does not directly hold, custody, or maintain User funds;

* does not guarantee payment collection, settlement, transaction success, or business outcomes;

* does not independently process banking transactions;

* does not act as escrow provider or financial guarantor;

* is not a party to underlying Commercial Transactions between Users.


All payment execution, authorization, settlement, debit processing, reversals, and banking operations are processed through authorized Payment Partners, banks, and applicable UPI/payment infrastructure systems.



3. ELIGIBILITY


By using the Platform, you represent and warrant that:


* you are at least 18 years of age;

* you possess legal capacity to enter into binding agreements;

* all information submitted by you is accurate and complete;

* you are authorized to act on behalf of any business or entity represented by you;

* your use of the Platform complies with all applicable laws and regulations.


CredWorth reserves the right to reject, restrict, suspend, or terminate access to any User at its sole discretion.



4. USER REGISTRATION & KYC


Users may be required to provide:


* identity proof;

* PAN details;

* GST details;

* business registration documents;

* bank account details;

* contact information;

* address proof;

* other information required for verification or compliance purposes.


You authorize CredWorth and its Payment Partners to:


* conduct KYC verification;

* validate submitted information;

* perform fraud prevention checks;

* share information with authorized service providers or regulatory authorities where required.


You acknowledge that failure to complete verification requirements may result in:


* restricted Platform access;

* transaction limitations;

* mandate restrictions;

* account suspension or termination.




5. MANDATE AUTHORIZATION


Users may create or authorize Mandates through the Platform based on their own commercial and financial requirements.


By approving or authorizing a Mandate, you:


* confirm that all mandate details submitted are accurate and authorized;

* authorize the applicable banking and payment systems to process payment instructions;

* acknowledge that mandate execution is subject to banking rules, payment infrastructure availability, and third-party processing systems;

* understand that successful mandate registration does not guarantee successful debit, collection, or settlement.


Users acknowledge that approvals executed through:


* OTP verification;

* UPI PIN authorization;

* bank authentication systems;

* digital consent mechanisms;

    shall constitute valid electronic consent and authorization.


Users are solely responsible for reviewing mandate details, including:


* amount;

* frequency;

* beneficiary details;

* duration;

* payment instructions;

    before authorization.


CredWorth shall not be responsible for:


* incorrect mandate entries;

* unauthorized access caused by User negligence;

* insufficient balances;

* expired mandates;

* rejected debits;

* banking failures;

* payment network downtime;

* delayed processing.



6. USER RESPONSIBILITIES


Users agree that they shall not:


* use the Platform for unlawful, fraudulent, misleading, or abusive activities;

* create fake, manipulated, or unauthorized mandates;

* misuse another person’s identity, bank account, or payment credentials;

* engage in money laundering, financial fraud, scam activities, or prohibited transactions;

* interfere with the security or functioning of the Platform;

* attempt unauthorized access to systems, APIs, or data.


Users are solely responsible for:


* maintaining confidentiality of login credentials;

* monitoring account activity;

* ensuring legality of Commercial Transactions;

* complying with tax, financial, and regulatory obligations;

* maintaining proper authorization for mandates created through the Platform.



7. COMMERCIAL TRANSACTION DISCLAIMER


CredWorth acts solely as a technology facilitation platform and is not responsible for underlying Commercial Transactions between Users.


CredWorth does not:


* verify goods or services exchanged;

* guarantee invoice authenticity;

* guarantee product quality or delivery;

* participate in credit decisions between Users;

* guarantee payment recovery or business performance.


Any dispute relating to:


* invoices;

* goods;

* services;

* pricing;

* delivery;

* contractual obligations;

* repayment arrangements;

* commercial disagreements;

    shall be resolved directly between the concerned parties.


CredWorth shall not be liable for losses, damages, claims, or disputes arising from such Commercial Transactions.



8. THIRD-PARTY SERVICES


The Platform integrates with third-party Payment Partners, banks, verification providers, and technology systems.


CredWorth does not control third-party systems and shall not be liable for:


* banking outages;

* payment network downtime;

* settlement delays;

* failed transactions;

* technical interruptions;

* third-party errors;

* verification failures;

* infrastructure disruptions.


Users acknowledge that third-party services may be governed by separate policies and terms imposed by those providers.



9. FEES & CHARGES


CredWorth may charge:


* platform fees;

* convenience fees;

* onboarding fees;

* mandate-related service charges;

* subscription fees;

* technology usage fees;

* other applicable charges.


Applicable charges may be displayed before confirmation of services or communicated separately.


Unless required under applicable law:


* successfully utilized services are non-refundable;

* banking or payment processing charges may not be refundable;

* taxes and statutory levies may apply additionally.


CredWorth reserves the right to revise fees at any time.



10. REFUNDS, REVERSALS & FAILED TRANSACTIONS


Refunds and reversals shall be governed by the CredWorth Refund Policy.


Refund eligibility, reversals, failed transaction handling, and dispute resolution timelines may depend upon:


* the nature of the issue;

* banking partner policies;

* payment infrastructure rules;

* investigation findings;

* applicable regulatory requirements.


CredWorth reserves the right to:


* reject refund requests;

* delay refunds pending verification;

* recover reversed or disputed amounts;

* suspend transactions associated with suspicious activity.


Refund initiation timelines may vary depending on banking and payment infrastructure systems.



11. FRAUD PREVENTION & COMPLIANCE


CredWorth reserves the right to:


* monitor transaction activity;

* request additional verification;

* suspend or restrict accounts;

* block mandates;

* delay processing for risk review;

* report suspicious activities to banks, regulators, financial intelligence units, or law enforcement authorities.


Users may be subject to enhanced due diligence, fraud prevention checks, and transaction monitoring.


Any attempt to abuse the Platform or engage in fraudulent activities may result in:


* permanent suspension;

* legal action;

* financial recovery proceedings;

* reporting to authorities.


CredWorth reserves the right to recover losses, reversals, penalties, chargebacks, or damages arising from fraudulent, unauthorized, suspicious, or abusive activities conducted through the Platform.



12. DATA PRIVACY & STORAGE


Users acknowledge and consent that CredWorth and its authorized Payment Partners may collect, process, verify, store, and share User information for:


* KYC verification;

* fraud prevention;

* transaction monitoring;

* legal compliance;

* operational purposes.


Such information may include:


* identity documents;

* financial information;

* transaction history;

* device information;

* contact details;

* business information.


CredWorth shall implement reasonable security measures to protect User data, however no system can guarantee absolute security.


Detailed data handling practices shall be governed by the CredWorth Privacy Policy.



13. INTELLECTUAL PROPERTY


All intellectual property rights relating to the Platform, including:


* trademarks;

* logos;

* software;

* APIs;

* workflows;

* designs;

* content;

* systems;

    remain the exclusive property of CredWorth or its licensors.


Users shall not reproduce, copy, reverse engineer, distribute, modify, or commercially exploit any portion of the Platform without prior written permission.



14. SUSPENSION & TERMINATION


CredWorth may suspend, restrict, or terminate User access without prior notice if:


* these Terms are violated;

* fraudulent or suspicious activity is detected;

* regulatory concerns arise;

* KYC requirements are not fulfilled;

* legal or operational risks are identified.


CredWorth reserves the right to permanently block Users engaged in prohibited or abusive activities.



15. LIMITATION OF LIABILITY


To the maximum extent permitted under applicable law, CredWorth shall not be liable for:


* indirect or consequential losses;

* business interruption;

* loss of profits;

* reputational damage;

* data loss;

* failed mandate execution;

* delayed settlements;

* banking system failures;

* third-party service interruptions;

* unauthorized access caused by User negligence.


CredWorth’s total aggregate liability shall not exceed the amount of fees actually paid by the User to CredWorth for the specific disputed service.



16. INDEMNITY


You agree to indemnify and hold harmless CredWorth, its directors, employees, affiliates, service providers, and partners against any claims, liabilities, losses, penalties, damages, or expenses arising from:


* your misuse of the Platform;

* violation of these Terms;

* fraudulent activity;

* disputes with other Users;

* violation of laws or regulations;

* unauthorized or illegal mandate activities.



17. FORCE MAJEURE


CredWorth shall not be liable for delays, interruptions, or failures caused by events beyond reasonable control, including:


* banking outages;

* payment infrastructure failures;

* cyberattacks;

* internet disruptions;

* natural disasters;

* strikes;

* government actions;

* technical failures;

* regulatory restrictions.



18. GOVERNING LAW & JURISDICTION


These Terms shall be governed by and construed in accordance with the laws of India.


Subject to applicable dispute resolution provisions, courts located in Rajkot, Gujarat shall have exclusive jurisdiction over disputes arising from these Terms.



19. DISPUTE RESOLUTION


In the event of any dispute arising from these Terms:


* parties shall first attempt amicable resolution;

* unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.


The seat and venue of arbitration shall be Rajkot, Gujarat.


Proceedings shall be conducted in English.



20. MODIFICATIONS TO TERMS


CredWorth reserves the right to update or modify these Terms at any time.


Updated Terms shall become effective upon publication on the Platform.


Continued use of the Platform after updates constitutes acceptance of revised Terms.
